These Terms of Service (“Terms”) govern your use of all websites, applications, content, products and services provided by UXR LTD (Company Number 08927425, England) (“we”, “us”, “our”).
By accessing or using our services you agree to these Terms. If you do not agree, you must not use the services.
1. Scope
These Terms apply to all current and future products, tools, downloads, memberships, subscriptions and digital content we provide unless a separate agreement expressly overrides them.
2. Accounts
If you create an account you must:
- provide accurate information
- keep login credentials secure
- notify us of unauthorised access
We may suspend or terminate accounts that violate these Terms or threaten the integrity of the service.
3. Licences and access
Unless stated otherwise, we grant you a personal, non transferable, non exclusive licence to use our services for personal use only.
You may not:
- share accounts or licence keys
- resell or redistribute our services or content
- reverse engineer or copy our software or source code
- use the services for unlawful purposes
We may modify, update or discontinue services at any time. We will attempt to provide notice where reasonably possible.
4. Payments, subscriptions and refunds
Prices may change. For subscriptions we will provide at least 30 days notice before a price change takes effect.
You may cancel a subscription at any time before the next billing cycle.
Digital product purchases include a 14 day no‑quibble refund period unless otherwise stated. After this period refunds may still be considered on a case by case basis at our discretion. Existing customers retain the refund terms in place at the time of purchase.
Lifetime licence products
Certain products may advertise a 30 day refund period. Where stated at purchase, that period applies to that product and forms part of the purchase terms.
Coaching calls
Coaching sessions must be booked and paid for at least 24 hours before the scheduled time. Cancellations or rescheduling requests made less than 24 hours before the scheduled session are not eligible for a refund. If you are genuinely dissatisfied after the session, refunds may be considered on a case by case basis but are not automatic.
5. Acceptable use
You agree not to:
- interfere with or disrupt the services
- attempt to bypass security measures
- upload unlawful, harmful or infringing material
- submit personal data belonging to others without permission
- use automated systems to access the services without authorisation
We may limit or terminate access for abusive or prohibited behaviour.
6. User content
You are responsible for any content you submit.
You grant us a limited licence to process and store submitted content solely to operate and maintain the services.
You confirm you have the legal right to submit the content.
7. Third party services
Our services may integrate or link to third party providers. We are not responsible for their content, policies or availability.
8. Availability
We aim to keep services available but do not guarantee uninterrupted operation. Access may be suspended for maintenance, updates or technical issues.
9. Intellectual property
All content, software, branding and materials we provide remain our property or the property of our licensors.
You may quote or reference small portions for personal, non commercial use with clear attribution.
You may not:
- sell, sublicense or redistribute our content or products
- repackage or present our work as your own
- use our name, branding or logos without permission
- use our materials in unlawful, abusive or harmful contexts
10. No professional advice
Content is provided for informational purposes only and does not constitute legal, financial or medical advice.
11. Liability
To the maximum extent permitted by law, we are not liable for indirect or consequential loss including lost data, profits or opportunities arising from use of the services.
Our total liability is limited to the greater of (a) the amount you paid us for the relevant service or (b) £100.
Nothing in these Terms excludes liability that cannot legally be excluded.
12. Termination
You may stop using the services at any time.
We may suspend or terminate access where you breach these Terms or misuse the services.
13. Changes to the Terms
We may update these Terms from time to time. Continued use of the services after changes take effect means you accept the updated Terms.
14. Governing law
These Terms are governed by the laws of England and Wales. If any provision is unenforceable, the remainder continues in effect.
15. Lifetime and legacy licences
Certain purchases may grant ongoing access to a service for as long as that service remains available and supported. This includes access to current features and updates to the existing service but does not include future standalone products, add ons or separate services unless explicitly stated.
We may modify or discontinue a service where required for technical, legal or commercial reasons. Where reasonably possible we will provide advance notice.
Licences described as “lifetime” or “ongoing access” refer to the operational life of the service, not indefinite availability. Discontinuation of a service does not entitle you to a refund outside any stated refund period, although we may offer a replacement, export option or alternative access at our discretion.
16. Uploaded files and libraries
Where the service allows uploading libraries, metadata or similar structured data, you confirm you have the legal right to upload and process that information. You remain responsible for maintaining backups of your own data. We are not responsible for loss, corruption or outcomes resulting from uploaded data.
17. Automated assistance features
Some services may include automated processing of user submitted content. Any outputs are provided for assistance only and you remain responsible for reviewing and approving changes before relying on them.
